1. Agreement to Terms
By accessing or using the Metafic website (metafic.co) and any services offered by Metafic LLC (“Metafic”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions. These terms apply to all visitors, clients, and others who access or use our services. If you do not agree to these terms, please do not use our website or services.
Metafic reserves the right to modify these Terms and Conditions at any time. Continued use of our website or services after any changes constitutes your acceptance of the updated terms. We recommend reviewing these terms periodically.
2. Services
Metafic LLC provides technology consulting, custom software engineering, MVP development, product discovery, team augmentation, staff augmentation, and related digital services. All services are subject to separate engagement agreements, statements of work, or service contracts entered into between Metafic and the client.
Metafic reserves the right to modify, suspend, or discontinue any service offering at any time without prior notice. We do not guarantee that our services will be available uninterrupted or error-free. Service deliverables, timelines, and pricing will be as specified in the applicable engagement agreement.
3. Intellectual Property
All content, branding, logos, trademarks, software code, designs, methodologies, frameworks, and other materials created by Metafic LLC are the exclusive intellectual property of Metafic LLC, protected under applicable intellectual property laws.
Work product and deliverables created specifically for a client under an engagement agreement shall be governed by the intellectual property provisions of that agreement. Unless explicitly stated otherwise in a written agreement, Metafic retains ownership of all pre-existing tools, frameworks, libraries, and proprietary methodologies used in delivering services. Unauthorized reproduction, distribution, or use of Metafic’s intellectual property is strictly prohibited.
4. Limitation of Liability
To the maximum extent permitted by applicable law, Metafic LLC and its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from or related to your use of our services or website.
Metafic’s total cumulative liability to any client for any claims arising out of or related to a service engagement shall not exceed the total fees paid by the client to Metafic in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
5. Confidentiality
Both parties acknowledge that in the course of a service engagement, confidential and proprietary information may be shared. Metafic LLC is committed to maintaining the confidentiality of all client data, project details, business strategies, and technical information disclosed during an engagement.
Metafic’s team members involved in a client project are bound by confidentiality obligations. Any specific confidentiality requirements beyond these Terms must be outlined in a Non-Disclosure Agreement (NDA) or the applicable engagement contract. This confidentiality obligation survives the termination of any engagement.
6. Payment Terms
Payment terms for Metafic’s services are defined in individual engagement agreements or statements of work. Unless otherwise agreed in writing, invoices are due within 30 days of the invoice date. Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Metafic reserves the right to suspend or terminate services in the event of non-payment. All fees are non-refundable unless expressly stated in the applicable engagement agreement. Clients are responsible for all applicable taxes, duties, and similar charges in connection with the services provided.
7. Governing Law
These Terms and Conditions and any disputes arising from or related to them or to Metafic’s services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes not resolved through good-faith negotiation shall be subject to binding arbitration or, where arbitration is not available, the exclusive jurisdiction of the courts located in Delaware, United States. By using our services or website, you consent to the personal jurisdiction of these courts.
